From the point of view of improving the efficiency of competition law and corporate business management, it is of interest to regulate relations and transactions between the parent and subsidiary organizations. The key to understanding the regulation of relations between the main and subsidiary enterprises is to consider them as a single economic entity and property complex. Therefore, often transactions between the main and subsidiary enterprises are considered as unilateral, gratuitous. In the legal language of Russian justice, the peculiarity of such transactions is called “lack of direct counter representation”. The Decree of the Presidium of the Supreme Arbitration Court of the Russian Federation No. 8989 approved the principle: “The absence of a direct counter-provision is a feature of the relationship between the main and subsidiary companies, which, from an economic point of view, are a single economic entity”. We will look at various cases of jurisprudence (the body of court decisions) that apply this principle, and see how this principle has evolved and developed. Judicial acts referring to Decree No. 8989 have impressively expanded the situational field of its application. Variants of such schemes: gratuitous transfer of fixed assets of the main company to a subsidiary and vice versa, as well as in relations between subsidiary structures; preferential pricing in contractual relations between the main and subsidiary companies, as well as in relations between subsidiary structures (finished products, raw materials, components, energy carriers, works, services, etc.); gratuitous transfer by holding companies of the results of intellectual activity; implementation of the contribution of the main company to the property of the “daughter” in compliance with the procedure established by law; the obligation of the subsidiary company to strictly comply with the specifics of the use of the relevant property established by law for the parent company; forgiveness of the debt of one of the companies associated with corporate control of another; mobilization of dividends of a subsidiary company to pay debts of the main company in the course of its bankruptcy; guarantee transactions of one holding company to secure obligations of another; transactions of preferential borrowing in relations between holding companies; gratuitous transfer of funds from one holding company to another, explicitly or implemented within the framework of a “business contract” Continue...

The widespread introduction of Internet technologies, the digitalization of the economy have led to a change in the economic behavior of consumers, and online commerce as a new direction for the promotion of goods and services has acquired special importance. It is now much easier and more convenient for consumers to choose a product or service (if there is a computer connected to the Internet). In such conditions, the problem arises of the need to study individual Internet marketing tools and the possibility of their use by companies in order to improve the policy of promoting goods and services and expanding sales markets. In the article, the authors aimed to identify certain aspects of Internet marketing and its tools as a competitive advantage for modern companies using this tool to promote goods and services in certain market segments. The research methodology based on the principle of the dialectical method of cognition, which makes it possible to reveal the logic of the development of the economic system. Within its framework, the following methods were used: monographic (in order to review the development of Internet marketing issues), comparative analysis (when characterizing traditional and Internet marketing), graphical and tabular methods of presenting information (for a more detailed illustration of the material presented). Using the method of abstraction, the advantages and disadvantages of the main Internet marketing tools were identified. This work is debatable and is devoted to revealing the methodological flaws of scientific research, often observed in Russian-language scientific periodicals. With the conclusion of an effective contract, the teaching staff of universities is artificially stimulated to scientific and publishing activities, which increases the relevance of the study of mental actions performed by young scientists to obtain new scientific knowledge. In this context, the question arises as to whether the researcher obtained new scientific knowledge as a result of committed methodological errors, committed research negligence. Using the example of a single article devoted to the application of a systematic approach to the Industrial Internet of Things, the author highlights a number of methodological flaws and reveals the importance of the depth of the literature review as a key characteristic of the accumulation of basic knowledge. The author also emphasizes the importance of a clear definition of the subject and object of the study, and recommends describing the research methodology not only in a single paragraph, but more specifically in relation to each stage and section of the study. In order to reveal the methodological flaws of scientific research, the author has to return to the definition of scientific methodology, system analysis and the industrial Internet of things. Using the example of a specific work, the author emphasizes the need for a strict and clear application of general scientific research methods, as well as the importance of a depth review of the literature, which should not reflect the subjective ignorance of the scientist. The author also emphasizes the danger of changing the direction of scientific research regarding the specialty of higher education of a young scientist, which can lead to confusion of subjective and objective ignorance due to a superficial review of the literature. The publication is devoted to the consideration of theoretical foundations in the field of system socio-economic space, which is reflected in the works of Russian philosopher and encyclopedist Alexander Alexandrovich Bogdanov. Based on the concept of socially-organized experience, reflecting the basic principles about the laws of organization, acting in technology (organization of things), economy (organization of people), politics (organization of ideas), the article substantiates the idea of the special role of space and time, first proposed by A. Bogdanov in relation to economic systems in the context of the system economic theory. In this conceptual context the processes of search of new approaches and rethinking of theoretical capital Тs purpose of transformation of economic systems in the direction of increase of their efficiency are considered. One of such sources of national intellectual heritage are the works of Russian philosopher and encyclopedist Alexander Alexandrovich Bogdanov, which outlined the concept of socially organized experience, reflecting basic principles about the laws of organization, operating in technology (organization of things), economy (organization of people), politics (organization of ideas) and the need for their systemic study. Concept A. A. Bogdanov is the first scientific concept, which integrates ideas of cybernetics, general systems theory and synergetic. The author pays attention to A. A. Bogdanov’s attempt to generalize universal organizational laws, controlling the behavior and structure of fundamentally new complex systems, which is described as “general organizational science”. A. Bogdanov was outstanding – both for his time and contemporaneity - attempt of generalization of universal organizational laws, governing the behavior and structure of principally new complex systems. In the article the idea of the special role of space and time, which was first proposed by A. A. Bogdanov, is developed and developed in the article as applied to economic systems in the context of system economic theory, and the conceptual model of qualitative equilibrium interaction of basic economic subsystems is built. On the basis of the presented information model of economic system on the basis of A. A. Bogdanov’s doctrine leads to conclusions that this doctrine in combination with modern systematic economic theory might become the theoretical base of general economic analysis. The arguments in favor of revival of interest to understanding of A. A. Bogdanov’s ideas and, in particular, to understanding of “economy space” and to the concept of “conscious cooperation”, which can supplement or oppose the concept of competition. His basic ideas about society based on consciously comradely principles, which are of scientific interest in the context of regulation of bona fide and non-bona fide behavior of economic subjects, are also noted. The article allows us to approach the estimation of variety of Bogdanov’s ideas from different positions, leaving the possibility for each scientist to form his own view and approach to this process of rethinking of his many theses and instruments. This article on the pages of the journal opens a discussion platform for discussion and the search for scientific and scientific-applied ideas aimed at improving the efficiency of economic systems, the formation of modern concepts and organizational and management principles and mechanisms to improve and develop both economic entities and the economy as a whole. Article is focused on factors influencing competition and competitiveness of a hotel. In contrast to other different approaches, author describe the range of factors affecting the hotel at the highly competitive and unstable demand environment, based on her professional experience and deep knowledge of economics and marketing of hospitality industry. The main factors and indicators that are vital in the competition were analyzing. Main focus was given to the environment changed last years. Epidemiological situation changes links with the COVID-19, chillness in foreign affairs, sanctions are the drivers in a large extent impacted the hospitality industry. International flight restrictions and tourist flow down, leaving of international hotel enterprises, supplier companies, stop of booking and aggregation systems servicing, logistic chains changes were leaving to significant consequence as for the services market and for especial companies. Main features, criteria and factors company needs to be taken into account for successful company positioning on the market were given based on the example of the hotel sector of the hospitality industry. The article is very practical, since systematic approach was developed based on factors affecting the competitiveness of a hotel was successfully used in on the real company working on competitive environment. Approach has theoretical significance due to focus on scientific ideas development on hospitality industry environment analysis using integrated approach can be used by future scientist. The article is devoted to a problem of the abuse of dominance in the EU coupled intraday electricity markets and the consequences of such abuse for the integration of RES generation. The relevance of the study is due to the increased interest in the role of competition policy in achieving sustainable development goals. The problem under consideration is revealed by an example of an investigation by the UK Office of Gas and Electricity Markets (Ofgem) into EPEX electricity exchange about the abuse of dominance at coupled intraday auctions between Ireland and the UK. The following results were obtained in the study. Firstly, it is established that the abuse of dominance in coupled intraday electricity markets may manifest itself in access denial by the essential facility owner (EPEX) for its competitors (Nord Pool power exchange) to the necessary infrastructure for coupled intraday auctions (shared order book). Secondly, it is proven that the coupled intraday electricity market is an important mechanism for integrating RES generation into the energy system due to the possibility of real-time trading and optimization of cross-border capacity allocation between coupled markets. Thirdly, it is revealed that access denial for competitors to the shared order book for coupled intraday auctions reduces the liquidity of the considered market due to the cut-off of some bidders. It is shown that reduced liquidity of the intraday electricity market hinders elimination of imbalances in the energy system arising from the volatility of power generation from RES. Therefore, it is concluded that the violation of competition in the coupled intraday electricity markets via abuse of dominance can hinder the cost-effective integration of RES generation and greening of the power industry.
